Terms of Service
Welcome to TVsync. Our TVsync platform provides a simple, secure REST API that enables developers to build smartphone, tablet, PC, and smartTV applications that automatically identify and synchronize image, music, television, and movie content.
By using our application program interface and all related content, documentation, code and materials (together, the “API”) and the TVsync website tvsync.com (“Website”), you confirm that you understand and agree with these Terms of Service.
The terms “Developer,” “you,” “your,” and “yours” when used in these Terms of Service refer to software application developers using our test API and Website. The terms “Company,” “we,” “us,” and “our” refer to TVsync.
You understand and agree that if you use our API or Website, you will be deemed to have accepted these Terms of Service.
Limits on your use of our API and website
While we encourage your creative use of the TVsync API, we require that you comply with all applicable laws and regulations in connection with your use of the API and Website and that you meet the following conditions:
- Do not enable or encourage others to sell, rent, lease, sublicense, redistribute or syndicate access to the TVsync API to any third party without prior written approval from TVsync
- Do not remove or alter any proprietary notices or marks on the API
- Do not use the API in order to monitor the functionality of TVsync’s products and services or for any competitive purposes
- Do not use the TVsync trade name, logos or trademarks to create a sense of endorsement, sponsorship or false association with TVsync or use the TVsync trade name, logos or trademarks as part of the name of your company or your company’s software application, products or services
- Do not use the TVsync API to create or distribute SPAM or violate consumer privacy
- Do not confuse or mislead consumers about the purpose of your software application
Ownership of the TVsync API and website
You understand and agree that TVsync (and/or its licensors) owns all right, title and interest in and to the TVsync API and Website. Accordingly, you agree not to use TVsync’s trade names, trademarks, service marks, logos, domain names or brand features without our express signed written consent.
Links to third party websites
The TVsync API and Website include links to third-party websites. Developer understands and agrees that TVsync is not responsible for any loss, monetary or otherwise, Developer experiences as a result of using a third party website.
Responsibility for developer applications
Developer understands and agrees that TVsync has no liability or responsibility for any direct or indirect, costs, losses and damages, incurred by Developer, its customers, shareholders, subsidiaries, vendors, agents, contractors or representatives or any third party, as a result of software applications developed by Developer or on Developer’s behalf.
TVsync use of developer information
Developer grants TVsync permission to use information about Developer’s API usage experience to enable TVsync to provide Developer with access to the API and Website, including updating and maintaining Developer data and information.
Disclaimer of warranties
TVsync makes no warranties or representations that use of the TVsync API or Website will increase or result in Developer sales, revenue, customers or profits. Moreover, TVsync cannot promise that the TVsync API or Website will be uninterrupted or free of errors. Accordingly, the TVsync API and Website are provided “as-is” and “as-available” and TVsync expressly disclaims all warranties and conditions of any kind, including without limitation, the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
Limitation of liability
Developer understands and agrees that neither TVsync nor its subsidiaries, affiliates or licensors will be liable to Developer for any direct, indirect, incidental, special, consequential or punitive damages that Developer may incur as a direct or indirect result of Developer’s use of the API or Website.
Modification of terms of service
We reserve the right to modify these Terms of Service. Any changes in these Terms of Service will become effective once we post them on the Website. These Terms of Service were updated as of the date set forth below.
Termination of use
We reserve the right to terminate Developer’s use of the API or Website if we determine (in our sole discretion) that Developer has violated these Terms of Service.
Indemnification
You will indemnify, defend, and hold TVsync, its subsidiaries, affiliates, officers, and employees, harmless from any and all claims, damages, losses, liabilities, actions, judgments, costs, and expenses (including reasonable attorneys’ fees) brought by a third party arising out of: (a) your use of the TVsync API or Website in violation of these Terms of Service; or (b) your software application. You will assume control of the defense and settlement of any claim subject to indemnification by you. TVsync may, at its own expense, take over control of the defense and settlement of any such claim. You agree not to settle any such claim against TVsync without TVsync’s prior written consent.
Nature of relationship
These Terms of Service do not create or imply any partnership, agency or joint venture between Developer and TVsync.
